PICKAX, LLC, a Delaware limited liability company of 204 Main Street #942, Newport Beach, CA 92661 (“us”, “we,” or “our”) operates a website located at www.pickax.com and related mobile applications (collectively, the “Service”). We are committed to respecting the privacy rights of our customers and other users of the SERVICE. This privacy policy (the “Policy”) describes the privacy practices for using the Service and applies to information collected by or through the Service, including via the website and mobile applications. Unless otherwise defined in this Policy, terms used in this Policy have the same meanings as in our Terms of Service, accessible on our website. It does not apply to any information on other Services even if you access another service through this Service.

The Policy informs you of our policies regarding the collection, use, maintenance, protection, and disclosure of personal information when you register for and use our Service, including communications by email, text, in-app messages, push notifications, and other electronic messages between you and the Service, and when you access our advertising and/or any third party websites and services, if those applications or advertising provide links to this policy. Mobile applications may be distributed through platforms such as the Apple App Store or Google Play, and those platforms may collect information independently under their own privacy policies. In particular, it notifies you about the following issues:

Information Collection, Use and Sharing

We are the sole owners of the information collected by or through the Service. By using the Service, you agree to the collection and use of information in accordance with this Policy.

Collection and Use

We collect information from you by or through the Service when you register for an account, subscribe to creators or Newsletters, respond to surveys or communications, or otherwise interact with the Service. When registering or subscribing, we may collect information such as your email address, name, username, and other account-related information. You may also choose to provide optional information, including demographic details, but such information is not required to use the Service.

If you purchase subscriptions or other paid features on the Service, you may be required to provide billing and payment information. Payment processing may be handled by third-party payment processors or app store providers (such as Apple or Google), and we receive limited transaction information necessary to confirm payment status, manage subscriptions, provide access to paid content, and support customer service.

When you access the Service by or through a mobile device or computer, we may collect certain information automatically. Such information includes, but is not limited to, approximate geographic information, the type of mobile device or computer you use, the search terms you may have used, your unique ID, the IP address of your mobile device or computer, your mobile or computer operating system, the type of mobile Internet browser you use and other statistics.

When you use our mobile applications, we may also collect mobile-specific information such as device identifiers, mobile advertising identifiers (if enabled by your device), app version, device type, operating system, language settings, crash logs, and app usage data (such as screens viewed and actions taken) to operate, maintain, improve, troubleshoot, and secure the Service.

You may see social media "like" buttons or "share" buttons on our Service. If you use those buttons, we may collect your IP address and where you were on our Service or on social media when you used the button. These kinds of social media features are governed by the privacy policies of the companies providing them.

If you email us or send us other communications directly, we will retain your email or address and correspondence so that we may respond to your request and for compliance purposes. We may retain this information for as long as reasonably necessary for support, compliance, and recordkeeping purposes, consistent with the Data Retention section below. One way that you might communicate with us is by applying for a job. We may share this information with trusted partners, for example while doing a reference check before you join our company.

Unless you ask us not to do so through our “opt-in” or “opt-out” procedure (see next section), we may contact you via email in the future to tell you about specials, new products or services, or changes to this Policy. Performance and Analytics Cookies

We use third-party tracking services (for example Google) that use cookies to track only nonpersonal information about visitors to our Service. In our mobile applications, similar analytics may be collected through software development kits (SDKs) and other tools that help us understand app performance and usage. These services allow us to gather general web-traffic patterns and behaviors, and we use that information to analyze our website performance. These analytics functions do not track users individually and their personal information is not linked to the tracking results.

Advertising Cookies

In addition, as internet advertisers, we may display ads on services across the Internet. We may use cookies to serve ads based on our visitor’s past use of our Service. This practice, called remarketing, allows us to reach people who have previously visited our Service and match those people to the right message for their needs. Location

The Service does not require precise location data to operate. Depending on your device settings and permissions, we may collect limited location information (such as approximate location) for purposes such as security, fraud prevention, account protection, analytics, and improving the Service. You can enable or disable location services at any time through your device settings. If you do not want us to process location information, do not enable location permissions and do not include location information in your profile.

We may use personal information to provide, administer, and improve our software Service; to better understand your needs and interests; to fulfill requests you make; to personalize your experience; to provide announcements about our Service; to provide you with information and offers; to protect, investigate, and deter against fraudulent, harmful, unauthorized, or illegal activity; and to comply with legal obligations.

We will use your personal information only if we have a lawful basis for doing so. Data Retention

We retain personal information about inactive, non-customer users for 2 years. For customers or clients, we retain personal information for as long as you have a customer relationship with us or as long as needed to provide you with our Software and Services, and thereafter as set forth in our service agreement with you.

In some cases, we retain personal information longer if doing so is necessary to comply with our legal obligations, resolve disputes or collect fees owed, or is otherwise permitted or required by applicable law, rule, or regulation. Upon disposal, we will destroy or render unreadable any such personal information. Afterwards, we retain some information in a depersonalized or aggregated form but not in a way that would identify you personally.

Email Newsletters and Subscriptions

If you subscribe to a creator or Newsletter, we use your email address to deliver creator content (including free or paid Newsletter emails), subscription-related communications, and service notices. You may unsubscribe from creator Newsletters at any time using the unsubscribe link provided in emails or through the Service. Unsubscribing from a Newsletter does not necessarily cancel a paid subscription unless explicitly stated at the time of purchase or in the applicable subscription settings.

We may collect and use aggregated or de-identified information about Newsletter delivery and engagement (such as delivery status, opens, and link interactions) to operate, measure performance, and improve the Service. We do not guarantee email delivery or inbox placement.

Disclosure and Sharing

We may disclose your personal information we collect to fulfill the purposes for which you provided such information, for any purposes disclosed when you provide the information, or with your consent.

We will not use, sell, trade or otherwise share or transfer your personally identifiable information with any third party outside of our organization without first providing you with advance notice, except as described in this Policy.

We may employ third party companies and individuals including contractors, service providers and the like, to facilitate our Service, to provide the Service on our behalf, to perform Servicerelated functions, and to assist us in analyzing how users use our Service. These third parties have access to your information only to perform specific tasks on our behalf and are prohibited from disclosing or using your information for any other purpose.

Creators control the content of their posts and Newsletters. PICKAX does not review, endorse, or assume responsibility for the substance of creator content or creator communications sent through the Service.

We will disclose your information where required to do so by law or subpoena (when compelled by a court ordered warrant from a U.S. court), or if we believe such action is necessary to comply with the law and the reasonable requests of law enforcement, or to protect the security or integrity of our Service. We may also release your information when we believe such release is required to enforce our Service policies, or protect ours or others’ rights, property, safety, or lifethreatening emergency, of our customers, employees, or other persons. We, in our sole and absolute discretion, and without need to provide notice, reserve the right to deviate from our policies, at any time.

If we are involved in a merger, acquisition or asset sale, dissolution, divestiture, restructuring or reorganization, your information may be transferred as a business asset to a buyer or other successor in interest. In such cases, we will provide notice before your information is transferred or becomes subject to a different Privacy Policy.

Your Options Regarding Your Information

Opt-In or Opt-Out: You may opt out of any future contacts from us at any time or change any of your account information by accessing your account settings within the Service, by following the unsubscribe link or instructions provided in any email we send, or by contacting us.. Any change will be effective for emails, orders or other action not yet in process. We may also retain any information changed or deleted by you for record-keeping purposes.

Cookies: You have the ability to accept or decline cookies. Most browsers automatically accept cookies, but you can instruct your browser to refuse all cookies or to indicate when a cookie is being used. The Help feature of most browsers provides information on how to accept cookies, disable cookies or to notify you when receiving a new cookie. Location: You can enable or disable location services when you use our Service at any time through your device settings.

Push Notifications: You can enable or disable push notifications at any time through your device settings.

Security of your Data

The security of your information is important to us, and we strive to implement and maintain reasonable, commercially acceptable security procedures and practices appropriate to the nature of the information we store, in order to protect it from unauthorized access, destruction, use, modification, or disclosure. When you submit sensitive information to the Service, your information is protected both online and offline.

If a password is used to protect your account and personal information, it is your responsibility to keep your password confidential. You must also require any employees or other representatives to whom you grant access to the Service to maintain the confidentiality of all passwords.

Only employees or contractors who need the information to perform a specific job (for example, billing or customer service) can have access to your sensitive information. In addition, the computers and servers on which we store sensitive personal information are kept in a secure environment.

Please understand, however, that no method of transmission over the Internet, or method of electronic storage, is 100% secure. As such, although we strive to protect your personal information, we cannot guarantee its absolute security.

You must promptly notify us if your credit card or bank account, username, or password is lost, stolen, or used without permission. In such an event, we will remove that credit card or bank account number, username, or password from your account and update our records accordingly.

Your information may be transferred to and be maintained on computers located outside of your state, province, country or other governmental jurisdiction where the data protection laws may differ from those in your jurisdiction.

If you are located outside United States (US) and choose to provide information to us, please note that we transfer the information, including your personal information, to the United States and process it there. Your consent to this Policy followed by your submission of such information represents your agreement to that transfer.

In the unlikely event that individual personal information has been acquired, or is reasonably believed to have been acquired, from us by an unauthorized individual and applicable law requires notification, we will notify the affected users of that breach. We will provide such notice promptly, although notification may be delayed if we or any law enforcement agency determines that notification would hinder an investigation.

Third Party Service:

Our Service may contain links to other services that are not operated by us. If you click on a third party link, you will be directed to that third party’s service. We have no control over, and assume no responsibility for the content, privacy policies or practices of any third party services. We strongly encourage you to review the privacy policy of every service you visit, particularly any service that collects personally identifiable information about you.

No Children under Age of 18:

Our Service is not intended for those under the age of 18, and does not deal with information relevant to children under the age of 18. If you are under the age of 18, you are not authorized to access this service, do not access and do not use or provide any content to this service, do not register with this service, do not make purchases on this service, do not provide any personal information (including name, address, email address, location, phone, user identifying information, etc.) on this service, and do not post any comments on this service. If we learn we have collected any such personal information from or about anyone under the age of 18, without consent of Parent, we will delete such personal information. As such, we do not knowingly collect personally identifiable information from such children. If you are a parent or guardian and you learn that your child has provided us with personal information, please contact us. If we become aware that we have collected personal information from a child under age 18 without verification of parental consent, we will take steps to remove that information from our servers and other systems.Note that California residents under the age of 16 may have other rights regarding collection and/or sale of personally identifiable information.

Sector-Specific Privacy Laws

Our Service is not designed to operate in regulated healthcare, financial advisory, or financial institution contexts, and we do not knowingly collect personal data subject to sector-specific privacy laws such as the Health Insurance Portability and Accountability Act (HIPAA) or the Gramm-Leach-Bliley Act (GLBA).

State Privacy Rights:

If you are a resident of certain states, other privacy protections may apply to you.

Our Service is not believed to be directly relevant to the state based privacy protections in certain US states. We strive to maintain best in class privacy protections, and continually seek to provide for enhanced protections granted to clients in different regions. We possess de-identified data. De-identified data cannot reasonably be used to infer information about, or otherwise be linked to, an identified or identifiable consumer, or a device linked to such person. We commit to maintain and use any de-identified data without attempting to reidentify de-identified data. California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA) provide additional CA privacy rights. The Colorado Privacy Act (CPA), Connecticut Data Privacy Act (CTDPA), and Virginia Consumer Data Protection Act (VCDPA) provide you certain rights with regards to handling of your personal information, regarding requesting access to, obtaining in a usable format, requesting deletion, and opting-out of specific personal information processing types such as targeted advertising and sale of personal information. We do not sell personal data as the term is commonly understood, i.e., disclosure to third party for financial or valuable consideration. If a consumer request has been denied, you have right to an appeal, or right to complain to the Attorney General about the result of your appeal. The Biometric Information Privacy Act (BIPA) of Illinois concerns use of biometric information and retaining such information in compliance. Our systems do not require use of biometric information. If you are a California resident, under the California Consumer Privacy Act of 2018 (CPRA) and the Civil Code Section 1798.83, which permits you to request certain information regarding our disclosure to third parties for direct marketing purposes, there may be restrictions on sale of your personal information and there may be restrictions on direct marketing based on disclosed personal data such as if you are under the age of 16. EU Personal Data

If you are located in the European Union (EU), Liechtenstein, Norway, or Iceland, European Economic Area (EEA), or United Kingdom (UK), you may have additional rights under the EU General Data Protection Regulation (the “GDPR”) related to your personal data. We will be the controller of your personal data.

In addition to the rights described in the section above, you have additional rights with respect to your personal information, and we have provided processes to ensure that your data is accurate and up-to-date.

Portability
